With respect to Schedules II, III, and IV, other than making the appropriate references in the Operating Agreement to these schedules, I’m not entirely sure what you need me to do. You obviously spent a significant amount of time putting together the employment policies, managerial responsibilities, and communications protocol.  I did note that you inserted a couple of questions in the documents, but I wasn’t sure if those were notes you made to yourselves or questions for me.  Bottom line, I’m not sure what I can add to these schedules, but let me know if you have specific questions for me.

With respect to Schedule V, Withdrawing Member-Pay-out-Plan, that is a different story.  As you know, this Schedule must tie with Article VI of the Operating Agreement.  I think I can tell from reading the Schedule what you are trying to accomplish, but I believe there is a cleaner, easier way to do it.  We should have a quick call so I can walk through with you certain options and different provisions that are generally included in buy-sell/redemption agreements.  I have listed below some questions for you to answer during our call. My questions are based upon Schedule V.  Once I know the answers, I can put together a cleaner version of Schedule V.

1.         If a member leaves the LLC for any reason, including death, termination for cause, or voluntary withdrawal, do you want the LLC to have the            option to buy out the member, or do you want the LLC to be compelled to buy-out the member?

I get the sense you want to force the LLC to buy out the member.

2.         If a member leaves within 5 years of start-up, her interest will be re-purchased at a discount, right?  For instance, if a member’s interest is      worth $20,000, but she leaves within 5 years, she will only receive a portion of the $20,000.   From reading paragraph I, it appears you are   contemplating a 50% discount.

3.         If a member leaves after 5 years, she gets her full interest, right?

4.         I suggest that if a member is terminated from the company for cause, regardless of when this occurs (e.g. before or after 5 years) her interest           should be re-purchased at a discount.

5.         What is your goal in assigning the Hilfinger loan to the Company?

a.         Did each of you personally guarantee the loan?

b.         Will the member’s portion of the outstanding balance reduce the member’s payout?

·         For instance, if your interest in the Company is $20,000, but you are personally obligated to Mr. Hilfinger for $5,000, will your payout be reduced to $15,000?

c.         Will the loan documents allow such an assignment?

6.         Do you want the value of the Company and the member’s interest to be determined by a certified business appraiser?

7.         What is additional funds pay (see Paragraph II)?

8.         You reference a Right of First Refusal.  What do you mean?  Does a member have the right of first refusal before the LLC buys the     membership interest.
